Merchant terms

Version 2026-09-16. In effect from 16 September 2026, and applicable from that date to every business which operates a loyalty programme on stampup.

1. Summary

This page is the agreement between the business which registers for the Services and stampup, and the business accepts it by means of the tick presented when the account is created. The public terms of service accompany it and form part of it. This section summarises the agreement for ease of reading, and the sections which follow contain the agreement itself and prevail over anything stated in this summary.

Subscriptions begin at €29 each month, or €24 each month when a year is paid in advance, and the Plan is chosen at registration. Nothing is charged at present, and the Fees are taken by Stripe once billing commences. The Merchant may cancel at any time, and cancellation takes effect at the end of the period for which the Merchant has paid. Six house rules govern the customer list, the messages the Merchant sends and the stamps it awards. The data-processing annex at the end of this page sets out what stampup does with the personal data of the customers of the Merchant and what the Merchant is entitled to ask of stampup.

2. The parties and the terms defined

2.1 This agreement is made between the business which registers for the Services, referred to throughout as the Merchant, and Stampup VOF, whose particulars are as follows.

Name:
Stampup VOF
Registered address:
Vivaldilaan 95, 3122 HW Schiedam, the Netherlands
Company number:
42187962 (Kamer van Koophandel)

2.2 In this agreement the following expressions carry the following meanings. The Services means the Site, the Portal, the Cards and the messaging and wallet functionality associated with them, taken together. The Site means the public stampup website, and the Portal means the application in which the Merchant designs a Card, awards stamps and reads the figures for its business. The Card means a stampup loyalty card, the Card Holder means the individual in whose name a Card is issued, and the Programme means the loyalty scheme operated by the Merchant, comprising its stamps, its rewards and the occasions on which each is given. The Wallet means Apple Wallet, Google Wallet or any comparable application in which a Card is stored. The Subscription means the right of the Merchant to use the Services under this agreement, the Plan means the tier of Subscription selected by the Merchant under section 4, and the Fees means the charges payable for that Plan.

2.3 By accepting this agreement the Merchant confirms that it registers as a business and that the person who ticks the box holds authority to commit that business. This agreement is made between businesses, and the rules which protect consumers sit outside it.

2.4 The public terms of service form part of this agreement. Where the two documents deal differently with the Subscription of the Merchant, this page prevails.

2.5 Two roles in respect of personal data arise under this agreement, and the annex at section 14 builds on them. In respect of the Programme of the Merchant, the Merchant decides what becomes of the personal data of its customers and stampup acts on its instructions. In respect of the stampup card account which a Card Holder holds across shops, the security of the Services and the improvement of the product, those decisions belong to stampup and stampup answers for them. The privacy policy sets out the same division.

3. The Services supplied

3.1 The Subscription gives the Merchant the Portal, comprising the card designer, the sign-up page, the counter at which stamps are awarded and rewards are redeemed, the insights, the messaging tools and the wallet passes which the customers of the Merchant carry.

3.2 The product develops throughout the term of this agreement. Features arrive, change and retire, and stampup shall give the Merchant notice before removing a feature on which the Merchant relies.

3.3 The Programme belongs to the Merchant and is for the Merchant to run. The Merchant sets the stamps, the reward, what earns a stamp and what it sends to its members, and stampup supplies the tools and follows the instructions of the Merchant.

4. The Plans and the Fees

4.1 Three Plans are offered, and the Fees stated in this section are expressed in euro and exclude value added tax. The Basic Plan costs €29 each month, or €288 for a year paid in advance, and includes one card, unlimited customers, Apple and Google Wallet, the join QR code and the counter print-outs.

4.2 The Grow Plan costs €49 each month, or €468 for a year paid in advance, and includes up to five cards, membership levels and extras, full insights with a CSV download, and staff accounts. The Enterprise Plan serves several shops or brands, and its Fees are on request, agreed with stampup for each Merchant.

4.3 A year paid in advance costs twelve months at the yearly rate, which is €24 each month on the Basic Plan and €39 each month on the Grow Plan. A Merchant which chose a Plan before these Fees took effect keeps the Fees at which it chose. The Merchant selects its Plan when it creates its account, and no trial period is offered.

4.4 A move to a larger Plan takes effect immediately. A move to a Plan smaller than the Merchant is presently using stops the cards above the limit of the new Plan, so that those cards take no new members and the counter declines stamps and rewards on them. Everything stays where it stands, nothing is deleted and no wallet card is voided, and a subsequent move to a larger Plan restores those cards at once with every stamp intact.

5. Payment of the Fees

5.1 Billing has yet to commence. Until it does, the account of the Merchant runs with nothing charged to it, and the selection of a Plan records that Plan alone.

5.2 Once billing commences, the Fees shall be taken by Stripe on the day on which the period of the Subscription renews, monthly or yearly according to the Plan which the Merchant has chosen.

5.3 Stampup may change its prices on thirty days of notice given by electronic mail. A Merchant which finds the new price less suitable may cancel before that price applies to it, and nothing further falls due from that Merchant.

5.4 Where a payment fails, the Merchant has fourteen days in which to put the matter right. Stampup writes to the Merchant and keeps the Services running throughout that period. Once the fourteen days pass, the account becomes read-only, so that stamping stops, messages stop and the screens of the Portal stay open for the Merchant to see its figures. Every stamp which a customer has already earned stays exactly where it stands, and the whole of the Services resume at the moment the payment is received.

6. Cancellation and the end of the Subscription

6.1 The Merchant may cancel the Subscription at any time by writing to stampup, which acts on the request. Cancellation takes effect at the end of the period for which the Merchant has paid, and the Merchant keeps the full Services until that day.

6.2 A yearly Subscription runs to the end of its year, and stampup refunds nothing in respect of the months remaining within it.

6.3 At the end of the Subscription the Cards expire and cease to count stamps. The Merchant is expected to tell its customers in advance of that day, so that a reward which stands close to completion may still be honoured at the counter.

6.4 Ninety days after the end of the Subscription, stampup deletes the account of the Merchant, its customer list and the stamp records behind that list. The counts of stamps awarded remain with stampup as anonymous figures, with nothing left by which they might be connected to a person.

6.5 The Portal carries no button by which the customer list is downloaded. A Merchant which asks stampup within those ninety days receives a copy prepared manually by stampup, in a file format which the Merchant is able to open.

7. The obligations of the Merchant

7.1 The Merchant shall give stampup true particulars of its business and shall keep those particulars current. The Merchant shall operate a genuine Programme and shall honour the rewards which its customers earn. The Merchant shall tell its customers what the Programme offers and shall stand behind what it has promised them.

7.2 The Merchant shall keep its password and its counter pin with the persons who require them, and shall tell stampup on the day on which it suspects that another person has obtained either of them. Everything done from the account of the Merchant is the responsibility of that Merchant, including everything done by its staff at the counter.

7.3 The Merchant shall hold the rights necessary to use the logos, the photographs and the words which it uploads. The Merchant shall comply with the law which applies to its business, including the rules on advertising, on prices and on personal data.

8. The six house rules

8.1 Six house rules bind the Merchant throughout the Subscription. The customer list of the Merchant exists so that the Merchant may serve the people who joined its Card, because those people joined that particular shop, and the Merchant shall use that list for its own shop alone. Selling the list, renting it, exchanging it or handing it to another business brings this agreement to an end.

8.2 The Merchant shall send promotional messages only to the members who have ticked the box consenting to them, and every other member receives the messages which the operation of the Card itself requires and nothing further. Health, money, politics and sex remain outside this channel, and the subject of a message is the shop of the Merchant, its offers and its rewards.

8.3 A stamp stands for a visit or a purchase which the customer has actually made. Awarding stamps in bulk, and awarding stamps to oneself, are inconsistent with that principle and are accordingly prohibited.

8.4 Health practices sit outside stampup for the present. Clinics, physiotherapy practices, fertility services, mental-health practices and other health practices wait until the additional protections which their data requires are in place. Beauty salons, barbers, hairdressers, nail studios, gyms and comparable businesses are welcome on the Services today.

8.5 These same six rules appear on the public terms page, so that the people who carry the Cards of the Merchant are able to read what the Merchant has accepted.

9. Breach, warning and suspension

9.1 Where stampup believes that the Merchant has breached this agreement, stampup shall write to the Merchant first, shall state what the problem is and shall allow a reasonable time in which to remedy it.

9.2 Stampup may suspend the account only where that time passes with the problem still outstanding, and a suspension is in every case preceded by the warning described above.

9.3 A suspended account stops stamping and stops messaging. The customers of the Merchant keep every stamp which they have earned.

10. Ownership and intellectual property

10.1 Stampup owns the software, the designs, the Site and the stampup name, together with the intellectual property rights subsisting in each of them. The Subscription confers on the Merchant the right to use them while this agreement holds.

10.2 The logo, the artwork, the photographs and the words of the Merchant remain its own property. By uploading them the Merchant grants stampup the licence required to display them on its Cards, on its sign-up page and within the application, which is the purpose for which they are uploaded, and that licence ends when the account of the Merchant ends.

10.3 Stampup may name the business of the Merchant and show its Card as an example of what stampup does, and stampup shall stop doing so upon the request of the Merchant.

10.4 Stampup may act freely on any suggestion for the improvement of the Services which the Merchant sends to it, and a suggestion sent in that way carries no obligation on stampup unless the parties agree otherwise in writing.

11. Limitation of liability

11.1 The Services are supplied as they stand. To the fullest extent permitted by law, stampup excludes its liability for any loss arising out of this agreement or the Services, including lost profit, lost custom, lost data and loss occasioned by an interruption.

11.2 One exception survives that exclusion: loss caused by the intent or the deliberate recklessness of stampup itself. The law of the Netherlands refuses to permit the exclusion of liability of that kind by contract, and stampup makes no attempt to exclude it.

11.3 The Programme remains the responsibility of the Merchant. The rewards which the Merchant has promised, the offers which it sends and the manner in which it treats its customers rest with the Merchant, and the Merchant shall indemnify stampup against claims which arise out of them.

12. Amendments to this agreement

12.1 This page carries a version and a date at its head. The version published here is version 2026-09-16, in effect from 16 September 2026.

12.2 Stampup shall give the Merchant thirty days of notice by electronic mail before a new version applies to it, and use of the Services after that date constitutes acceptance of the new version. A Merchant which finds the new version less suitable may stop before that date and cancel at no cost.

13. Governing law and jurisdiction

This agreement is governed by the law of the Netherlands, and a dispute arising out of it is submitted to the competent court in the Netherlands.

14. Data-processing annex

This annex is the data-processing agreement which the law requires the two parties to make. It governs the personal data of the customers of the Merchant, in respect of which the Merchant decides and stampup acts on its instructions.

Subject matter and duration

14.1 Stampup processes the personal data of the customers of the Merchant so that the Programme of the Merchant may run. This annex lasts for as long as the account of the Merchant lasts, together with the ninety days described under cancellation.

Nature and purpose of the processing

14.2 Stampup signs the customers of the Merchant up, holds their details, counts their stamps, issues their rewards, keeps their wallet cards current, sends the messages which the Merchant asks it to send, and presents the figures to the Merchant. Stampup carries out those operations in order to run the Programme, and for no other purpose of the choosing of the Merchant.

Categories of personal data and data subjects

14.3 The personal data processed comprises the name, the electronic mail address, the telephone number, the birthday, the stamps, the rewards and the record of messages delivered. The persons to whom that data relates are the customers of the Merchant, the people who joined its Card.

Allocation of responsibility

14.4 In respect of the Programme the Merchant is the controller and stampup is the processor, so that the Merchant decides and stampup carries the decision out. In respect of the stampup card account which a Card Holder holds across shops, the security of the Services and the improvement of the product, stampup is the controller and answers for those matters itself. The privacy policy sets out the same division.

Instructions of the Merchant

14.5 Use of the Portal is the manner in which the Merchant instructs stampup. Every card the Merchant designs, every member it stamps and every message it sends is an instruction, and stampup acts on it. An instruction which goes beyond the Portal reaches stampup in writing, by electronic mail to privacy@stampup.app.

14.6 Where an instruction appears to stampup to infringe the law, stampup shall tell the Merchant and shall hold the instruction until the matter has been resolved between them.

Confidentiality

14.7 Every person at stampup who is able to reach the personal data of the customers of the Merchant is bound to keep that data confidential, and the duty of confidence outlasts the time which that person spends with stampup.

Security of processing

14.8 The personal data is stored within the European Union, in Frankfurt, and connections to the Services are encrypted. Passwords are held as a one-way hash. Access is limited to the persons who require it, and every query for the data of a shop is scoped so that the account of the Merchant reaches the customers of that Merchant alone. The privacy policy carries the fuller description of these measures.

Sub-processors

14.9 Other companies process the personal data of the customers of the Merchant while they work for stampup. Each of them is named, with what it does and where it is established, in the list of the companies stampup works with, and the Merchant agrees to those on that list today.

14.10 Stampup shall give the Merchant thirty days of notice by electronic mail before it adds a further company to that list. A Merchant which finds the addition less suitable may say so and may cancel within those thirty days at no cost.

Assistance with the rights of data subjects

14.11 Where a customer of the Merchant asks to see, to correct or to delete their personal data, the answer belongs to the Merchant to give, and stampup shall help the Merchant give it within the one month which the law allows. A request which reaches stampup first passes straight to the Merchant.

Personal data breaches

14.12 Where the personal data of the customers of the Merchant is exposed, stampup shall tell the Merchant without undue delay once it knows, setting out what happened, whom it touched and what stampup is doing about it. The decision to tell the supervisory authority and to tell the customers belongs to the Merchant, and stampup shall give the Merchant what it requires in order to take that decision.

Consequences of termination

14.13 Stampup deletes the personal data of the customers of the Merchant ninety days after the account of the Merchant ends. A Merchant which asks within those ninety days receives a copy beforehand, prepared manually by stampup in a file format which the Merchant is able to open.

Audits and information

14.14 The Merchant may satisfy itself that stampup does what this annex says, on thirty days of written notice, once in any twelve months and at the cost of the Merchant. An audit begins with the questions of the Merchant in writing and the written answers of stampup, and goes further where those answers leave a matter open.

Obligations of the Merchant

14.15 The Programme belongs to the Merchant to run, and several duties follow from that. The Merchant shall hold a lawful basis for the Programme which it operates. The Merchant shall tell its customers at the counter what it does with their personal data, where it wishes to give a notice of its own alongside the notice of stampup. The Merchant shall honour the requests which its customers bring to it, and shall keep the personal data which it holds for its own shop and for the purposes of which it told those customers.

15. Contact
